How to Use the Calculator
The calculator is designed as a three-step progression, moving from the operational engine of your business to the cold reality of tax liabilities.
Step 1: Establishing Enterprise Value (The Valuation Tab)
The journey begins with defining what the operating entity is worth before capital structure is considered.
- Input Annual EBITDA: Do not use revenue. Enter your Earnings Before Interest, Taxes, Depreciation, and Amortization. This is the raw cash-flow engine of your company.
- Select Your Multiple: This is the art behind the science. A business is generally valued as a multiple of its EBITDA. This multiple varies wildly by industry and market sentiment.
- Low Range (3x-5x): Often asset-heavy industries like construction, low-margin retail, or businesses highly dependent on the owner’s daily presence.
- Mid Range (6x-9x): Established manufacturing, distribution, or high-margin service businesses with strong management teams in place.
- High Range (10x-15x+): High-growth technology, SaaS (Software as a Service), or businesses with proprietary, defensible intellectual property.
- Use the slider to realistically assess where your industry currently trades.
Step 2: Determining Net Equity (The Structure Tab)
Gross Enterprise Value is vanity; Net Equity is sanity. This step adjusts the gross value by your balance sheet reality to determine what the shareholders actually own.
- Ownership & Heirs: Define your stake. Are you 100% owner, or do you share equity with inactive siblings or private investors? How many successors will this wealth eventually be divided among?
- The Debt Anchor: Enter all interest-bearing business debt. If your business is valued at $50 million, but you owe the bank $20 million, your equity value is immediately slashed to $30 million.
- The Cash Cushion: Add back excess cash sitting on the balance sheet that is not needed for daily operations.
Step 3: The Final Verdict (The Succession Tab)
This is the most critical step, determining the massive “friction costs” of transferring wealth.
- Choose Your Scenario:
- Keep in Family: Select this if the goal is intergenerational transfer. This triggers potential Estate Taxes.
- Sell to Private Equity: Select this if the exit plan is a liquidity event. This triggers Capital Gains Taxes.
- Exemption Status: Have you already used your lifetime federal estate tax exemption (approx. $13.61M per individual in 2024, or $27.22M for a married couple)? If you have already gifted significant assets, select “Yes.”
Interpreting the “Wealth Waterfall”
Once you calculate, scroll down to the “Wealth Waterfall” chart. This visualization is essential. The tall green bar on the left is what you built. The subsequent red bars are the “bites” taken by debt and taxes. The final orange bar is the actual legacy left for your heirs.
Watching that final bar shrink is often the catalyst for immediate estate planning action.
